Corporate Law

Today the businesses are carried out under a corporate structure which may be a listed public limited company, or an unlisted closely held or a private limited company, or a limited liability partnership (LLP), or it may be a small one person company (OPC). These corporates are governed by respective corporate laws of respective jurisdiction like in India the relevant laws are The Companies Act, 2013, The Limited Liability Partnership Act, 2008 and administered by the Ministry of Corporate Affairs (MCA).

The disputes and adjudication of various issues concerning the corporate affairs, its management & administration, statutory compliances, inspection, inquiries and investigation, compromises, arrangements, mergers and amalgamations, prevention of oppression and mismanagement, winding-up and liquidation and other corporate matters are decided at the National Company Law Tribunal (NCLT). Any corporate fraud is investigated by the Enforcement Agency titled as Serious Fraud Investigation Office (SFIO). The appeals arising out of orders of NCLT are heard by National Company Law Appellate Tribunal (NCLAT).
